These Terms & Conditions ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Digital X LTD ("Company", "we", "us", "our"), concerning your access to and use of the AI Workflows website, platform, and related services (collectively, the "Service"). By signing up for early access, creating an account, or using the Service in any way, you agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.
1. Service operator
The Service is operated by Digital X LTD, registered in the Republic of Bulgaria.
2. Description of the service
AI Workflows is a visual, no code workflow automation platform powered by AI agents. It allows users to build, deploy, and manage autonomous workflows that connect AI models, business tools, and data sources on a single canvas.
The Service is provided "AS IS" and "AS AVAILABLE". We do not guarantee uninterrupted availability or error free operation at all times. We are not responsible for any errors, omissions, interruptions, or delays in the Service.
3. Acceptance of terms
By registering for an account, joining the waitlist, or using any part of the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Service.
We reserve the right to make changes or modifications to these Terms from time to time. We will alert you about any material changes by updating the "Last Updated" date. It is your responsibility to periodically review these Terms to stay informed of updates. Continued use of the Service after changes constitutes acceptance of the revised Terms.
4. Eligibility and user representations
You must be at least 18 years old or of legal age in your jurisdiction to use the Service. The Service is designed for individual or business use. If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
By using the Service, you represent and warrant that:
- All registration information you submit is true, accurate, current, and complete.
- You will maintain the accuracy of such information and promptly update it as necessary.
- You have the legal capacity and agree to comply with these Terms.
- You will not access or use the Service through unauthorised automated or non human means (including bots, scripts, or scraping tools) that are not expressly permitted by the Service.
- You will not use the Service for any illegal or unauthorised purpose.
- Your use of the Service will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Service.
5. Early access and beta use
AI Workflows is currently in pre launch and early access. By participating, you acknowledge that:
- Features, functionality, pricing, and integrations may change without prior notice.
- The Service may contain bugs, errors, or incomplete features.
- Early access discount tiers (Founding, Early Access, Beta) apply to the first 12 months of your subscription only. Standard pricing resumes automatically upon renewal.
- We are not liable for any loss or damage arising from your use of the early access Service.
6. Account and security
You may create an account using your email address. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us immediately of any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that show signs of unauthorised access, suspicious activity, or violation of these Terms. We may also remove, reclaim, or change a username if we determine it is inappropriate or objectionable.
7. Plans, billing, and payments
AI Workflows offers multiple subscription plans (Starter, Professional, Business) with monthly and annual billing options. Prices are displayed in euros (€) and exclude VAT unless otherwise stated.
- Payments are processed through our chosen payment provider. We do not store your payment card details directly.
- You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service.
- Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Early access discounts apply to the first 12 months only. Standard pricing applies upon renewal.
- Additional compute credits purchased as add ons are billed alongside your subscription.
- Fees paid are non refundable except where required by applicable law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
- We reserve the right to correct any errors in pricing, even if payment has already been requested or received.
- We may change prices at any time. Any such changes will apply prospectively and will be communicated in advance.
8. AI generated content and output
To the extent permitted by applicable laws and regulations, as between you and us, you own all right, title, and interest, including any intellectual property rights, in any content generated by the Service based on your inputs ("Output"). We do not claim any ownership or intellectual property rights in such Output.
You acknowledge that:
- Output is generated by artificial intelligence and may not be unique. Similar or identical content may be generated for other users.
- We do not guarantee that Output will be accurate, complete, or free of errors.
- Output should not be treated as professional advice. You should conduct human review and confirmation before relying on important content generated by AI.
- AI agents may produce inaccurate, incomplete, or unexpected results. All autonomously generated content or actions should be considered auxiliary and do not constitute our professional advice or final decisions.
9. Your data, submissions, and privacy
The processing of your personal data is governed by our Privacy Policy. Analytics and cookie usage is described in our Cookie Policy.
You retain ownership of the data you upload or create within the Service. We do not use your data to train machine learning or artificial intelligence models, or for any purpose unrelated to providing the Service, unless we obtain your explicit consent or are required to do so by applicable law.
By sending us any feedback, suggestions, ideas, or other information about the Service ("Submissions"), you grant us a non exclusive, worldwide, royalty free licence to use, process, and incorporate your Submissions solely for the purpose of operating, maintaining, and improving the Service.
We may preserve, access, and disclose your data for the limited purposes of: (i) responding to your requests for support; (ii) complying with valid legal requests; (iii) protecting the rights, property, or safety of us, our customers, and the public; (iv) detecting and preventing fraud or security issues.
10. Intellectual property
We are the owner or licensee of all intellectual property rights in the Service, including all source code, software, designs, templates, logos, trademarks, and related materials (collectively, the "Content" and "Marks"). The Content and Marks are protected by copyright and trademark laws.
Subject to your compliance with these Terms, we grant you a non exclusive, non transferable, revocable licence to access and use the Service for your personal or internal business purposes. You may not copy, reproduce, distribute, modify, or create derivative works from the Content or Marks without explicit written permission.
Workflows and content you create using the Service remain your intellectual property. This restriction applies solely to our Content and Marks, not to Output generated by you through the Service.
11. Prohibited activities
You may not access or use the Service for any purpose other than that for which we make the Service available. You agree not to:
- Use the Service for any unlawful purpose.
- Systematically retrieve data from the Service to create a collection, compilation, or database without written permission.
- Trick, defraud, or mislead us or other users, including attempts to learn sensitive account information.
- Circumvent, disable, or interfere with security related features of the Service.
- Attempt to reverse engineer, decompile, disassemble, or otherwise access the source code of the Service, except as permitted by applicable law.
- Upload or transmit viruses, trojans, or other material that interferes with the use of the Service.
- Use unauthorised automated tools (bots, scripts, scrapers) to access, extract, or interact with the Service in a manner not expressly permitted by us.
- Overload, spam, or abuse the Service or its infrastructure.
- Use the Service to develop, operate, or support any product or service that competes with or is substantially similar to the Service.
- Collect usernames or email addresses of users by electronic or other means for the purpose of sending unsolicited messages.
- Attempt to impersonate another user or person, or use another user's account.
For the avoidance of doubt, automated actions, workflows, AI agents, scheduled tasks, API calls, webhooks, and similar functionalities that are provided by the Service and initiated or configured by you are considered authorised uses and do not constitute a violation of this section.
12. Third party services and integrations
The Service may contain links to or integrations with third party websites and services ("Third Party Services"). When you authorise us to connect to Third Party Services such as Google, Slack, or other tools, you permit us to access and use data from these services within the scope of your authorisation to provide functionality to you.
You are responsible for:
- Securely authorising and managing these connections.
- Ensuring you have the right to connect to these services and process any data transmitted through them.
- Complying with the terms of service and policies of those Third Party Services.
We are not responsible for the content, accuracy, privacy practices, or policies of Third Party Services. Any purchases or transactions you make through Third Party Services are exclusively between you and the applicable third party.
13. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non infringement.
We make no warranties or representations about:
- The accuracy or completeness of the Service's content or any AI generated Output.
- Any personal injury or property damage resulting from your access to or use of the Service.
- Any unauthorised access to or use of our servers or any personal information stored therein.
- Any interruption or cessation of transmission to or from the Service.
- Any bugs, viruses, or other harmful components transmitted through the Service by third parties.
When AI agents generate responses or process information, your content (including knowledge base documents, prompts, and conversation history) may be sent to third party AI model providers (such as OpenAI, Google, or Anthropic) to generate Output. Your use of these providers' services is governed by their own terms and privacy policies. We strongly recommend you review those terms before use.
14. Limitation of liability
To the maximum extent permitted by applicable law:
- AI Workflows, its directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Service, even if we have been advised of the possibility of such damages.
- Our maximum aggregate liability to you for any cause whatsoever shall be limited to the lesser of (a) the total amount you have paid to us in the 12 months preceding the claim, or (b) €100.
- Use of the Service during pre launch and early access is at your own risk.
Certain laws do not allow limitations on implied warranties or the exclusion of certain damages. If these laws apply to you, some of the above limitations may not apply.
15. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, made by any third party due to or arising out of:
- Your use of the Service.
- Breach of these Terms.
- Any breach of your representations and warranties set forth in these Terms.
- Your violation of the rights of a third party, including intellectual property rights.
- Any harmful act toward any other user of the Service.
We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.
16. Service management and modifications
We reserve the right to: (1) monitor the Service for violations of these Terms; (2) take appropriate legal action against anyone who violates the law or these Terms; (3) refuse, restrict access to, or disable any content or functionality in our sole discretion; (4) remove files or content that are excessive in size or burdensome to our systems; and (5) otherwise manage the Service to protect our rights and facilitate proper functioning.
We reserve the right to change, modify, or remove features of the Service at any time without notice. We will not be liable for any modification, price change, suspension, or discontinuance of the Service.
17. Termination
- You may close your account and cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your access at any time for violation of these Terms, with or without notice.
- If we terminate your account, you are prohibited from registering a new account under your name or any other name.
- Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.
18. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Sofia, Bulgaria.
19. Electronic communications
Visiting the Service, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.
20. Miscellaneous
- These Terms and any policies posted on the Service constitute the entire agreement between you and us.
- Our failure to exercise or enforce any right or provision shall not operate as a waiver of such right.
- If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
- We may assign our rights and obligations to others at any time.
- We shall not be responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
- There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms.
